Terms of Service

Effective Date: November 4, 2026  |  Last Updated: November 4, 2026

These Terms of Service (“Terms”) form a binding agreement between you (“you” or “User”) and Anergint (“Anergint,” “we,” “us,” or “our”). They govern your access to and use of the Anergint website at www.anergint.com and its subdomains, our content, forms, newsletters, careers pages, and any related online features (the “Website”), and any information about our Preventer™, Analyzer™, and Optimizer™ predictive analytics solutions and related services (together with the Website, the “Services”).

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use the Services.

1. Who May Use the Services

The Services are intended for energy, utility, industrial, and other business users and their authorized personnel. You must be at least 18 years old (or the age of majority where you live) and have the legal capacity to enter into these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. The Services are not directed to children under 16.

2. Relationship to Other Agreements

These Terms apply to your use of our public Website and pre-sales interactions. Access to and use of Anergint’s paid platforms, pilots, or professional services is governed by a separate signed agreement, order form, or statement of work (a “Services Agreement”). If there is a conflict between these Terms and a Services Agreement, the Services Agreement controls for the services it covers.

3. Website Use and Acceptable Use

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Website for your internal business evaluation and informational purposes. You agree not to:

4. Forms, Demo Requests, and Newsletters

4.1 Demo and contact requests

When you submit a demo request or contact form, you agree to provide accurate information and authorize Anergint to contact you about your request by email, phone, or other means you provide. A demo request does not create a customer relationship, and we may decline or reschedule any request at our discretion.

4.2 Newsletter and marketing communications

If you subscribe to our newsletter or opt in to updates, you consent to receive communications about our solutions, content, and events. You may unsubscribe at any time using the link in any message or by contacting us. Transactional or service-related messages may still be sent after you unsubscribe from marketing.

4.3 No obligation

Information, quotes, estimates, or demonstrations provided through the Website or in response to your submissions are for evaluation only and are not a binding offer. Pricing, specifications, and availability are subject to a Services Agreement.

5. Careers and Job Applications

Job listings on the Website are provided for informational purposes and do not constitute an offer of employment or a contract. By submitting an application, resume, or cover note you (a) confirm the information is accurate and that you have the right to share it, (b) authorize Anergint and its service providers (including applicant-tracking providers) to process it to evaluate your candidacy and, where permitted, to consider you for future roles, and (c) acknowledge that we may retain your application for a reasonable period as described in our Privacy Policy. Do not include sensitive personal data (such as government ID numbers, health, or religious information) in your application unless specifically requested. Anergint is an equal opportunity employer and makes employment decisions without discrimination on any protected basis. Anergint will never ask applicants for payment as part of its hiring process; please report suspicious requests to info@anergint.com.

6. Accounts and Credentials

Certain areas of the Services (for example, staff or customer dashboards) are restricted to authorized users who have been issued credentials by Anergint. You are responsible for keeping your credentials confidential, using strong unique passwords, enabling any multi-factor authentication we require, and for all activity under your account. Notify us immediately at info@anergint.com if you suspect unauthorized access. We may disable accounts that are inactive, shared, or used in violation of these Terms.

7. Intellectual Property

The Services and all content, text, graphics, logos, icons, images, page layouts, software, data models, algorithms, analytics methods, documentation, and the Anergint, Preventer™, Analyzer™, and Optimizer™ names and marks (together, “Anergint IP”) are owned by Anergint or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. Except for the limited license in Section 3, no rights are granted to you, by implication, estoppel, or otherwise. You may not use Anergint marks without our prior written consent. All rights not expressly granted are reserved.

8. Your Submissions and Feedback

“Submissions” means information, files, resumes, comments, or other materials you send through the Services. You retain ownership of your Submissions. You grant Anergint a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and use your Submissions as needed to operate the Services, respond to you, and carry out the purposes described in our Privacy Policy. You represent that you have all rights necessary to make your Submissions and that they do not violate any law or third-party right.

If you provide suggestions, ideas, or feedback about our Services (“Feedback”), you grant Anergint a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate the Feedback without obligation or attribution. Feedback does not include your confidential information or Customer Data.

9. Customer Data

Where Anergint processes operational, sensor, SCADA, GIS, inspection, or other infrastructure data on your behalf (“Customer Data”), such data remains your property. Anergint will use Customer Data only to provide, maintain, secure, and improve the Services, as permitted by the applicable Services Agreement, any data processing agreement, and our Privacy Policy. Anergint may create and use aggregated or de-identified data that does not identify you or your assets to improve its models and services. Do not submit Customer Data through public Website forms; use the secure channels designated in your Services Agreement.

10. Whitepapers, Case Studies, and Content

Whitepapers, case studies, blog articles, news, FAQs, and other content (“Content”) are provided for general information only. Case studies may describe results from specific projects; past results do not guarantee similar outcomes, which depend on data quality, asset condition, operating context, and other factors. You may download and share Content for your internal, non-commercial use provided that you keep all copyright and proprietary notices intact. You may not republish, sell, or distribute Content in modified form without our written permission. We may update or remove Content at any time without notice.

11. Predictive Analytics Disclaimer

Anergint’s analytics, risk scores, forecasts, and recommendations are decision-support tools generated from available data and modeling techniques. They are probabilistic and may be incomplete or inaccurate. They are provided “as is” and do not constitute engineering certification, regulatory compliance advice, a guarantee of asset performance, or a substitute for professional inspection, maintenance, and safety judgment. You remain solely responsible for operational, safety, environmental, and regulatory decisions regarding your pipelines, networks, and facilities, and should not rely on the Services as the sole basis for any safety-critical decision.

12. Third-Party Links and Services

The Services may link to or integrate with third-party websites, tools, or services (such as analytics, hosting, applicant-tracking, scheduling, or social platforms). We do not control and are not responsible for third-party content, security, or privacy practices. Your use of third-party services is at your own risk and subject to their terms. A link does not imply endorsement.

13. Confidentiality

Each party agrees to protect the other party’s non-public business, technical, and financial information that is marked or reasonably understood to be confidential (“Confidential Information”) with at least the same degree of care it uses for its own, and no less than reasonable care, and to use it only as needed to evaluate or perform under these Terms or a Services Agreement. This obligation does not apply to information that is public through no fault of the recipient, already known to or independently developed by the recipient, or lawfully received from a third party, and does not prevent disclosure required by law (with prompt notice where legally permitted). Submitting information through public Website forms does not create a confidentiality obligation unless we agree in writing, so please do not include trade secrets or sensitive infrastructure details in those forms.

14. Privacy and Cookies

Our collection and use of personal information is described in the Privacy Policy, and our use of cookies and similar technologies is described in the Cookie Policy. Both are incorporated into these Terms by reference.

15. Security

We use administrative, technical, and organizational safeguards designed to protect the Services, but no system is completely secure. If you believe you have found a vulnerability in the Services, please report it promptly and privately to info@anergint.com, give us reasonable time to remediate before any public disclosure, and avoid accessing, modifying, or destroying data that is not yours. Good-faith research that follows these rules will not be pursued by Anergint as a violation of these Terms.

16. Disclaimer of Warranties

The services and all content are provided “as is” and “as available.” To the maximum extent permitted by law, Anergint disclaims all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. Anergint does not warrant that the services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that content or analytics outputs are accurate, complete, or reliable.

17. Limitation of Liability

To the maximum extent permitted by law, Anergint and its affiliates, directors, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the services or these terms, however caused and under any theory of liability, even if advised of the possibility of such damages. Anergint’s total aggregate liability for all claims relating to the website and these terms will not exceed one hundred U.S. dollars (US $100).

Liability for services provided under a Services Agreement is governed by that agreement. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for fraud or for death or personal injury caused by negligence, where such law applies.

18. Indemnification

You agree to defend, indemnify, and hold harmless Anergint and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Submissions, your violation of these Terms or applicable law, your infringement of any third-party right, or your use of the Services in a manner not permitted by these Terms. We will give you prompt notice of any such claim and reasonable cooperation at your expense, and you will not settle a claim that imposes obligations on Anergint without our written consent.

19. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, pose a security or legal risk, or if we discontinue any part of the Services. You may stop using the Services at any time. Sections that by their nature should survive termination — including Sections 7, 8, 9, 11, 13, 16, 17, 18, 21, and 23 — will survive.

20. Export and Sanctions Compliance

You agree to comply with all applicable export control, import, and economic sanctions laws and regulations. You represent that you are not located in, organized under the laws of, or owned or controlled by a person in a country or on a restricted-party list subject to comprehensive sanctions, and that you will not use the Services for any prohibited end use.

21. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Anergint is incorporated, without regard to conflict-of-law principles, unless a signed Services Agreement specifies otherwise. You and Anergint agree to first try to resolve any dispute informally by written notice and good-faith discussions for at least 30 days. If unresolved, the dispute will be submitted to the exclusive jurisdiction of the competent courts located in that jurisdiction, and each party consents to personal jurisdiction and venue there. To the extent permitted by law, any claim must be brought within one (1) year after it arises, and claims may be brought only in an individual capacity and not as part of any class or representative action. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.

22. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, practices, or legal requirements. Updated Terms take effect when posted with a new “Last Updated” date, and for material changes we will take reasonable steps to notify you (for example, a notice on the Website). Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
